Key area
SP 2 – Company Law
SP 2 is aimed at all students with an interest in commercial and business law. It equips students for academic and practical work across the entire field of company law (particularly in a large law firm, a company or a notary’s practice).
Content of the specialisation programme:
· stock company law
· Company law
· Group company law
Each topic is examined in the context of european law, highlighting the similarities and differences with partnerships (GbR, OHG, KG).
The content is integrated into the general civil law doctrine and methodology of the compulsory module (no ‘island knowledge’!).
Lectures:
- Company Law I (stock company law), 2 SWS, in the winter semester
- Company Law II (Public Limited Companies and Group Law), 3 contact hours per week, in the summer semester
- Supreme Court case law on company law, 1 SWS, every semester
- Optional: Accounting / Financial Reporting Law, 1 SWS, in the summer semester only
Seminars:
Introductory seminars and term papers covering the entire field of company law.
curriculum:
It is recommended that students commence the SP programme in the winter semester (lecture on Company Law I). This course covers the essential fundamentals and common features of the GmbH and AG. In the following summer semester, the ‘Corporation Law II’ lecture focuses primarily on topics relating to company law and group law.
The lecture on supreme court case law is particularly suitable for preparing for the SP oral examination and for further study, but may be attended by ambitious students at any time.
For the preparatory seminar, it is not recommended to choose specific topics relating to the law of companies if these have not yet been covered in the relevant lectures. It is therefore possible and advisable to choose general topics relating to civil law or the law of partnerships. Supervision by the department is provided in this regard.
The topics for the term papers cover the entire spectrum of company law. In this respect, no supervision is provided.
Students planning to take a gap year after the 8th semester are advised to attend the compulsory lecture on trade and company law as early as the 3rd semester in order to acquire the necessary prior knowledge for the SP programme.
Company Law Network:
The department maintains an extensive network with renowned large law firms, which gives rise to events featuring practitioners and law firm presentations, and through which contacts can be established for internships, elective placements, etc.
